LFT – Li-FT Power Limited
As announced on 15 December 2025, Li-FT and Winsome Resources Limited (Winsome) have entered into a binding Scheme Implementation Deed under which Li-FT has agreed to acquire all of the issued shares in Winsome (Share Scheme). The parties have also agreed terms for a separate scheme of arrangement under which Li-FT will acquire all of the outstanding options on issue in Winsome (Option Scheme).
Following implementation of the Share Scheme, Winsome will delist from ASX and become a wholly-owned subsidiary of Li-FT.
Li-FT currently holds interests in the following projects:
- the Yellowknife Lithium Project located in the Northwest Territories, Canada (ownership: 100%);
- the Galinée Project located in Québec, Canada (ownership: 75%). The Galinée Project is located immediately adjacent to Winsome’s Adina Project;
- the Québec Exploration Projects located in Québec, Canada and comprising the Rupert Project (ownership: 100%), the Pontax Project (ownership 100% on the majority portion of the project and ownership 51% earning to 70% on the balance), the Nottaway Project (ownership: earning 100%) and the Moyenne Project (ownership: 100%); and
- the Northwest Territories Exploration Projects located in the Northwest Territories, Canada and comprising the Cali Project (ownership: 100%), the LDG and Mackay Projects (ownership: 100%) and the DeStaffany Project (ownership: 100%).
Upon the implementation of the Share Scheme and Winsome becoming a wholly owned subsidiary of Li-FT, Li-FT will also own the following projects:
- the Adina Project located in the Eeyou Istchee James Bay region of Québec, Canada (100%);
- the Cancet Project located 155km east of Radisson, in the northwest of the province of Québec, Canada (100%);
- the Sirmac Clapier Project located 350km to the south-west of the Adina Project in Québec, Canada (100%); and
- the Tilly Project located 20km south-east of the Adina Project (100%).
Upon implementation of the Share Scheme, the Company’s predominant focus will be on the Yellowknife Lithium Project and the combined Adina-Galinée Project
It is anticipated that LFT will list on the ASX during May 2026.
